1. Acceptance of terms

You represent that you have authority to bind the Shopify store (the “Store”) on whose behalf you install Offrefy. If you are using Offrefy for a Store owned by a company, “you” includes that company.

2. Description of the service

Offrefy is a Shopify embedded app that helps merchants create quantity-break and volume discount campaigns, display product-page widgets, and apply automatic discounts at cart and checkout through a Shopify Discount Function (commonly registered as “Offrefy — Quantity breaks”). Features may vary by plan and may evolve over time.

Offrefy is a third-party Shopify app. It is not an official Shopify product and is not endorsed by Shopify beyond being listed/distributed as a Shopify app.

3. Accounts and store responsibility

You are responsible for your Shopify staff accounts, API credentials granted to Offrefy, theme configuration (including enabling the Offrefy app embed), and the accuracy of campaign settings you create.

You are solely responsible for ensuring that your discounts, pricing displays, and marketing claims comply with applicable laws and advertising rules in the regions where you sell.

4. Acceptable use

You agree not to misuse the Service. Prohibited conduct includes attempting to reverse engineer Offrefy except where permitted by law; interfering with Service security or other merchants; using Offrefy to violate Shopify’s terms or applicable law; or uploading unlawful, harmful, or infringing content into the Service.

5. Plans, billing, and limits

Offrefy offers Free, Standard, and Premium plans. Unless otherwise stated in-app:

• Free: $0/mo — up to 5 active campaigns.
• Standard: $8.99/mo — up to 25 active campaigns.
• Premium: $19.99/mo — unlimited campaigns.
• Yearly billing: 20% off relative to monthly pricing.

Paid plans are billed through Shopify Billing. Taxes may apply as determined by Shopify and applicable law. Plan limits (including active campaign caps and gated features such as scheduling, advanced analytics, CSV import/export, or custom CSS) are enforced by the Service.

Failure to pay may result in downgrade, feature restriction, or suspension. Refunds, if any, are handled according to Shopify’s billing processes and our support policies.

6. Intellectual property

XLOXI and its licensors own Offrefy, including software, design, trademarks, and documentation. You receive a limited, non-exclusive, non-transferable right to use the Service for your Store while installed and in good standing.

You retain ownership of your Store content and campaign configurations. You grant XLOXI a limited license to host and process that content solely to provide the Service.

7. Third-party platform dependency

Offrefy depends on Shopify APIs, Discount Functions, theme app extensions, webhooks, billing, and related platform features. Shopify may change, rate-limit, or discontinue APIs. We are not liable for outages, breaking changes, or limitations imposed by Shopify or your theme that affect Offrefy’s behavior.

Cart evaluation and discount allocation remain subject to Shopify platform constraints (including allocation limits such as approximately 25 distinct product IDs in certain discount evaluation contexts).

8. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, XLOXI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT DISCOUNTS WILL ALWAYS DISPLAY OR APPLY EXACTLY AS CONFIGURED in every theme, currency, market, or checkout scenario, or that analytics will be error-free or complete.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, XLOXI WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, XLOXI’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO XLOXI FOR OFFREFY DURING THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM (OR, IF YOU ARE ON THE FREE PLAN, FIFTY U.S. DOLLARS).

10. Indemnification

You agree to indemnify and hold harmless XLOXI and its operators from claims, damages, losses, and expenses (including reasonable legal fees) arising out of your misuse of the Service, your Store’s pricing/discount practices, your violation of these Terms, or your violation of applicable law or third-party rights.

11. Termination and uninstall

You may stop using Offrefy at any time by uninstalling the app from Shopify. We may suspend or terminate access if you breach these Terms, if required by Shopify or law, or if we discontinue the Service with reasonable notice when practicable.

Upon uninstall, access ends and shop data is handled according to our Privacy Policy and Shopify’s redact requirements. Sections that by nature should survive (including intellectual property, disclaimers, limitations, and indemnity) will survive termination.

12. Governing law

These Terms are governed by the laws of India, with a preferred venue in Tamil Nadu, unless XLOXI specifies otherwise in a written update to these Terms. Courts of competent jurisdiction in that venue may hear disputes, subject to mandatory consumer or local law protections that cannot be waived.

Editors: update this section if XLOXI designates a different governing law or venue.

13. Changes to these terms

We may update these Terms from time to time. The effective date above will change when we do. Continued use after changes become effective constitutes acceptance where permitted by law. If you do not agree, uninstall Offrefy.
